TERMS OF SERVICE FOR RENTWISE

IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE RENTWISE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE RENTWISE PLATFORM.

1. ACCEPTANCE AND BINDING AGREEMENT

1.1. Your Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether as a tenant, landlord, or any other user ("you" or "User"), and RentWise ("RentWise," "we," "us," or "our"), governing your access to and use of the RentWise website, mobile applications, and all associated services (collectively, the "Platform"). By clicking "I Agree," checking a box, or otherwise accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use the Platform.

1.2. Changes to Terms

We reserve the right to modify or update these Terms at any time, in our sole discretion. We will notify you of any material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for any updates.

1.3. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to your use of the Platform shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law principles. You agree that all disputes, claims, and legal proceedings arising out of or relating to these Terms or the Platform must be resolved exclusively in the courts located in Tbilisi, Georgia, as further detailed in Section 7.

2. USER ELIGIBILITY AND ACCOUNTS

2.1. Eligibility

To access and use the RentWise Platform, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract. By using the Platform, you represent and warrant that you meet these eligibility requirements.

2.2. Account Creation

To access certain features of the Platform, such as posting reviews or comments, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3. Single Account

Each individual user is permitted to create and maintain only one (1) account on the Platform. Creating multiple accounts is prohibited and may result in the suspension or termination of all associated accounts.

3. PLATFORM DESCRIPTION AND USER ROLES

3.1. Platform Purpose

RentWise is an online platform designed to facilitate the sharing of information about rental properties, buildings, and districts through user-generated reviews. Our primary goal is to empower tenants by providing a space for them to share their experiences and insights.

3.2. Tenant Role (Primary Content Creators)

As a tenant, you are permitted to create and publish primary content, which includes detailed reviews about rental properties, buildings, and districts. This content can be submitted by both private renters and commercial tenants. You may choose to submit reviews anonymously, subject to the limitations outlined in Section 4.5. All reviews are intended to be permanent, searchable, and highly visible on the Platform.

3.3. Landlord Role (Limited Participation)

Landlords, property owners, and property management representatives are not permitted to create or publish primary review content on the Platform. Their participation is strictly limited to commenting under existing reviews, primarily for the purpose of providing responses, rebuttals, or clarifications to tenant reviews. Landlord comments are considered secondary content.

4. CONTENT POLICIES

4.1. User-Generated Content (UGC) Ownership and License

You retain ownership of any original content you create and submit to the Platform, including reviews and comments ("Your Content"). However, by submitting Your Content, you grant RentWise a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content in connection with the operation and promotion of the Platform and our business. This license is perpetual but may be terminated upon account closure or content deletion by the user, except for content already incorporated into aggregated analytics or required for legal compliance.

4.2. Content Standards

All content submitted to the Platform, whether primary reviews or secondary comments, must adhere to the following standards:

  • Accuracy: Content should be truthful and accurate to the best of your knowledge.
  • Relevance: Content must be relevant to rental properties, buildings, districts, or the rental experience.
  • Respectful Conduct: Content must be respectful and free from harassment, hate speech, or personal attacks.
  • No Impersonation: You must not impersonate any person or entity.

4.3. PROHIBITED CONTENT

You agree not to submit, upload, post, or otherwise make available any content that:

  • Is Demonstrably False Factual Statements: This includes specific, verifiable claims about property features, amenities, lease terms, maintenance issues, or landlord actions that can be proven untrue with objective evidence. This does not include subjective opinions or personal experiences.
  • Is Illegal or Promotes Illegal Activity: Content that violates any applicable local, national, or international law or regulation.
  • Is Defamatory, Libelous, or Slanderous: Content that harms the reputation of another person or entity.
  • Infringes Intellectual Property Rights: Content that infringes on copyrights, trademarks, patents, trade secrets, or other proprietary rights of any third party.
  • Violates Privacy Rights: Content that discloses private or confidential information about third parties without their express consent, including names, addresses, phone numbers, or financial details.
  • Contains Harassment, Threats, or Hate Speech: Content that is abusive, threatening, obscene, discriminatory, or promotes violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Is Spam or Duplicate: Unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation. This also includes posting the same or substantially similar content multiple times.
  • Contains Malware or Harmful Code: Content that contains viruses, corrupted data, or any other harmful, disruptive, or destructive files or code.
  • Is Sexually Explicit or Obscene: Content that is pornographic, sexually explicit, or otherwise obscene.
  • Promotes Self-Harm or Violence: Content that encourages or glorifies self-harm, violence, or illegal acts.

5. LANDLORD DISPUTE PROCESS

RentWise provides a formal, mandatory dual-channel dispute system for landlords to challenge content they believe to be false. This internal system is a required first step before pursuing any external legal action related to content published on the Platform.

5.1. DISPUTE PROCESS FOR FALSE INFORMATION

Landlords may challenge content on the Platform through one of two channels:

CHANNEL 1: EMAIL DISPUTE SYSTEM (info@rentwise.pro)

You must send a formal written complaint to info@rentwise.pro with all required elements including property identification, ownership verification, specific false claim identification, contradictory evidence, requested action, and contact information.

CHANNEL 2: INTEGRATED WEBSITE DISPUTE FUNCTIONALITY

You can initiate a dispute by clicking the "Report False Information" button located on each review page and following the guided submission process.

6. LIABILITY LIMITATIONS

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RENTWISE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM.

RENTWISE IS NOT RESPONSIBLE FOR:

  • THE ACCURACY, COMPLETENESS, OR TRUTHFULNESS OF USER REVIEWS OR COMMENTS. While we provide a dispute mechanism for demonstrably false factual claims, we do not guarantee the accuracy of all user-generated content.
  • ECONOMIC LOSSES OR DAMAGES RESULTING FROM NEGATIVE REVIEWS.
  • PROPERTY RENTAL DECISIONS MADE BASED ON INFORMATION OBTAINED FROM THE PLATFORM. You are solely responsible for verifying any information before making rental decisions.
  • DISPUTES BETWEEN TENANTS AND LANDLORDS THAT OCCUR OUTSIDE OF OUR FORMAL DISPUTE PROCESS.
  • ANY LOSS OR DAMAGE TO YOUR DATA, HARDWARE, OR SOFTWARE RESULTING FROM YOUR USE OF THE PLATFORM.

7. DISPUTE RESOLUTION AND JURISDICTION

7.1. MANDATORY DISPUTE RESOLUTION

All disputes, claims, or controversies arising out of or relating to these Terms or your use of the RentWise Platform, including any content posted thereon, shall be resolved exclusively through the following mandatory tiered process in Tbilisi, Georgia:

TIER 1 - INTEGRATED PLATFORM DISPUTE SYSTEM (REQUIRED FIRST STEP)

You agree that any content-related dispute must first be submitted through our internal dual-channel dispute system (email to info@rentwise.pro or the integrated website dispute functionality) as detailed in Section 5. This internal process, including investigation and appeal, is mandatory and must be exhausted before any external action is pursued. Our decision on content management issues within the Platform is final.

TIER 2 - GEORGIAN MEDIATION (OPTIONAL BUT ENCOURAGED)

If the internal platform dispute resolution (Tier 1) does not resolve the matter to the satisfaction of all parties, you may, but are not required to, engage in mediation in Tbilisi, Georgia. Mediation will be conducted by a neutral Georgian mediator proficient in English.

TIER 3 - TBILISI COURT LITIGATION (FINAL RESORT)

Only after exhausting Tier 1 (and potentially Tier 2 mediation, if pursued) may parties resort to litigation. You agree that the exclusive venue for any such litigation shall be the competent courts of Tbilisi, Georgia. You expressly waive any right to initiate legal proceedings in any other jurisdiction.

8. INTELLECTUAL PROPERTY AND CONTENT LICENSING

8.1. RentWise Intellectual Property

All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of RentWise or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2. Your Content License

As stated in Section 4.1, by submitting Your Content to the Platform, you grant RentWise a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content in connection with the operation and promotion of the Platform and our business. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant this license to RentWise.

9. ACCOUNT TERMINATION AND SERVICE DISCONTINUATION

9.1. Termination by You

You may terminate your account at any time by contacting us through the provided contact information. Upon termination, your account will be deactivated, and your content may be removed from public view, though we may retain copies for legal and archival purposes.

9.2. Termination by RentWise

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms.
  • Violation of any applicable law or regulation.
  • Conduct that we believe is harmful to other users, RentWise, or third parties.
  • If we decide to discontinue the Platform or any part thereof.

10. FINAL PROVISIONS

10.1. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and RentWise regarding your use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
